Terms of Service

These Terms and Conditions (“Agreement”) govern your access to and use of the Travel Content Market website and platform (“Platform”) operated by IMAGE AND FILM LLC (“Company,” “we,” “us,” “our”). By accessing or using the Platform, you (“User,” “you,” or “your”) agree to be bound by this Agreement. If you do not agree to all terms, you may not use the Platform.

1. Eligibility

You must be at least 18 years old or the legal age of adulthood in your country of residence to use the Platform. By registering, you represent and warrant that you meet this requirement.

2. Platform Use and Content Approval

IMAGE AND FILM LLC reserves the right to approve, reject, or remove any user or content at its sole discretion, for any reason or no reason, at any time, with or without notice.

3. Intellectual Property and Licensing

a. Ownership: Creators retain full copyright ownership of all content uploaded to the Platform.

b. License to IMAGE AND FILM LLC: By uploading content, you grant IMAGE AND FILM LLC a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, distribute, display, sublicense, and sell your content on the Platform and for Company marketing, promotion, and business purposes. IMAGE AND FILM LLC must purchase the imagery under the same terms, standards, and prices as other buyers for any use beyond promotion or Platform display.

c. Creator Rights: Creators may license or sell their content elsewhere. Removal of content is permitted by written request, but prior sales remain valid and irrevocable. IMAGE AND FILM LLC will remove content within 30 days of receiving written notice.

4. Buyer (Destination/Partner) Rights

Buyers obtain the rights to use purchased content as specified in the licensing agreement provided at the time of purchase. All sales are final; no refunds or chargebacks will be granted.

5. Prohibited Content

You may not upload or submit content that is illegal, defamatory, pornographic, infringes the rights of others, or is otherwise objectionable. Only travel-related content suitable for destinations, DMCs, DMOs, hotels, restaurants, and their partners may be uploaded. We reserve the right to remove or block any content or user for violation of these terms or for any other reason.

6. Payments, Fees, and Commissions

Payments to creators will be made via PayPal, Wise, Venmo, ACH, cash, or check, subject to Company policies. IMAGE AND FILM LLC charges platform commissions, licensing fees, and may charge currency exchange or other fees; these may change at any time at the sole discretion of IMAGE AND FILM LLC.

7. Data Collection and Privacy

We collect all user information entered or uploaded to the Platform and may sell, transfer, or otherwise use such data as permitted by applicable Utah law. General care will be taken to protect user data. By using the Platform, you consent to these practices. IMAGE AND FILM LLC will comply with all applicable Utah laws governing data privacy.

8. Indemnification

You agree to indemnify, defend, and hold harmless IMAGE AND FILM LLC, its affiliates, officers, employees, agents, and assigns from and against any and all claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising out of or relating to (i) your content; (ii) your use of the Platform; (iii) your breach of this Agreement; or (iv) any violation of law or third-party rights. This obligation survives termination of your account or use of the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, IMAGE AND FILM LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any content obtained from the Platform; or (d) any conduct or content of any third party on the Platform.

10. Changes to Terms

IMAGE AND FILM LLC reserves the right to change, modify, or update these Terms and Conditions at any time, for any reason, at its sole discretion. It is your responsibility to review this Agreement periodically for changes. Continued use of the Platform constitutes your acceptance of any such changes. Contractual agreements with IMAGE AND FILM LLC are separate and will not be altered by updates to these website Terms and Conditions.

11. Termination

IMAGE AND FILM LLC may suspend or terminate any user account or access to the Platform at any time, for any reason, with or without notice.

12. Jurisdiction and Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. All legal proceedings must be brought exclusively in Ogden, Utah.

13. Miscellaneous

a. No Refunds: All sales are final.

b. Severability: If any provision is found invalid, the remainder remains in effect.

c. Entire Agreement: These Terms constitute the entire agreement between you and IMAGE AND FILM LLC regarding the Platform.

By using this Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

IMAGE AND FILM LLC (“we,” “us,” “our”) operates the Travel Content Market website and platform (“Platform”). This Privacy Policy describes how we collect, use, share, and protect your personal information when you access or use the Platform.

  • Personal Information: Name, email address, contact details, payment information, and any other information you provide when registering, creating an account, or using our services.

  • Content Data: Photos, images, and other content you upload, along with metadata (e.g., location, device data).

  • Usage Data: Information about your use of the Platform, including IP address, browser type, access times, pages viewed, and referring website addresses.

  • Communications: Any communications with us, including support requests, emails, and messages.

  • Operating and maintaining the Platform

  • Processing transactions and making payments

  • Communicating with you about your account or Platform updates

  • Verifying your identity and preventing fraud

  • Providing customer support

  • With other users or partners as required to facilitate transactions (e.g., buyers viewing your images)

  • With third-party service providers (e.g., payment processors, hosting, analytics)

  • With affiliates, subsidiaries, or successors in the event of a merger, acquisition, or sale

  • As required by law, regulation, or legal process

  • At our discretion, we may sell, transfer, or otherwise disclose your information as permitted by applicable law

4. Data Storage and Security

We store your information using reasonable physical, technical, and administrative safeguards designed to protect against loss, misuse, unauthorized access, disclosure, alteration, or destruction. However, no system is 100% secure; we cannot guarantee absolute security.

5. Your Choices and Rights

  • You may access, update, or delete your personal information at any time by logging into your account or contacting us.

  • You may request that your images be removed from the Platform; IMAGE AND FILM LLC will comply within 30 days, but prior licenses/sales remain valid and irrevocable.

  • You may opt out of receiving marketing communications from us at any time.

  • If required by law (such as GDPR or CCPA), you may have additional rights, including requesting information about the data we hold about you, correcting inaccuracies, or requesting deletion.

6. Cookies and Tracking

We may use cookies and similar technologies to collect information about your activity on the Platform to improve your experience, analyze usage, and deliver relevant content or advertising.

7. Children’s Privacy

The Platform is not intended for children under 18. We do not knowingly collect information from anyone under 18 or under the age of legal majority in their country. If we become aware that we have collected information from a minor, we will delete it promptly.

8. International Users

IMAGE AND FILM LLC is based in Utah, United States. By using the Platform, you consent to the transfer, processing, and storage of your information in the United States and other jurisdictions, which may have different data protection laws than your country of residence.

9. Changes to This Policy

We may update this Privacy Policy at any time. Updates will be posted on this page, with a revised “Last updated” date. It is your responsibility to review the policy periodically. Continued use of the Platform constitutes acceptance of the updated policy.

Creator Agrees to these contractual agreements when sending ANY content to TravelContent.Market

1. Grant of Rights

1.1. License to TravelContent.Market:
You grant TravelContent.Market a worldwide, non-exclusive, perpetual, irrevocable, sublicensable, royalty-free license to use, reproduce, modify, adapt, publicly display, distribute, sublicense, sell, and otherwise share the Content you upload via the Platform. This includes the right to market, display, and license your Content to third-party buyers (“Destination Partners”) on your behalf under any of the following license types, as determined by TravelContent.Market: Web/Social License (one-year or two-year term), Print License, Advertising or Paid Media License, Editorial License, or any other license type that may be offered by TravelContent.Market from time to time. You expressly authorize TravelContent.Market to negotiate, grant, and administer the terms, scope, and pricing of such licenses to Destination Partners in accordance with this Agreement and the practices of the Platform.

1.2. Marketing and PR:
You grant TravelContent.Market the right to use your name, likeness, and branding for platform marketing, public relations, and promotional purposes.

1.3. Sublicensing and Downloads:
TravelContent.Market may allow Destination Partners to download licensed Content and to request custom or extended licenses, with YOUR approval for any terms beyond the standard license.

2. Intellectual Property

2.1. Retention of Rights:
You retain all copyrights in your Content. This Agreement does not constitute an agency, employment, or exclusive representation. You may license or sell your Content elsewhere at your discretion.

2.2. License Irrevocability:
Any licenses granted to Destination Partners prior to the Content’s removal from the Platform, including during the thirty (30) day removal period, remain valid and irrevocable for the full license term.

3. Content Submission and Compliance

3.1. Pre-Approved Destinations:
You may only upload Content tied to destinations pre-approved by TravelContent.Market, per Platform guidelines.

3.2. Lawfulness:
You represent and warrant that all Content is original, lawful, and does not infringe upon any third-party rights. You are solely responsible for obtaining all necessary model, property, or other releases and for complying with all local laws.

3.3. Quality:
TravelContent.Market reserves the right to delete, approve, reject, or decline to upload your content if it is submitted to the wrong categories or does not meet our quality standards. We may do this with or without your permission, and we are not required to notify you if it occurs.

3.4. File Naming and Upload Responsibilities:
The Contributor is responsible for uploading files with unique file names and placing them in the correct folders and categories as specified by TravelContent.Market. If the Contributor does not properly name files or place them in the correct location, TravelContent.Market is not responsible for lost, misplaced, or unidentifiable files. The Contributor waives any right to have such content uploaded to the Platform or to receive payment for such content if TravelContent.Market cannot reasonably identify the Contributor as the seller of the content.

4. Payments

4.1. Payment Timing and adjustments:
TravelContent.Market will pay your share of net license fees only after receipt of cleared funds from the Destination Partner. If there is a chargeback, refund, or payment dispute for any reason, TravelContent.Market reserves the right to withhold, adjust, or claw back any amounts previously paid to you relating to that transaction, including by deducting such amounts from future payments to you. All sales are final, but you agree that in the event of a chargeback or similar reversal, TravelContent.Market may recover those funds from you.

4.2. Payment Method and Thresholds:
Payments will be made through the methods listed on the Platform. TravelContent.Market is not liable for delays caused by third-party processors.

4.3. Fees and Commissions:
TravelContent.Market will deduct platform fees and any transaction fees as disclosed on the Platform. Contributors will typically receive 77 percent of net proceeds, subject to discounts or other offers as posted.

4.4. Tax Obligations:
You are solely responsible for all tax obligations arising from payments you receive. If you are paid 600 dollars or more in a calendar year, you will be issued a 1099 form.

5. Communication with Destination Partners

5.1. Right to Communicate:
You authorize TravelContent.Market to communicate with Destination Partners on your behalf, including negotiating custom licenses, delivering Content, or resolving licensing issues.

5.2. Non-Circumvention:
If a Destination Partner identifies Content on the Platform and wishes to license it, you agree not to circumvent TravelContent.Market for a period of one (1) year from initial contact through the Platform, provided TravelContent.Market has documented proof of such identification. All licensing transactions with such partners must occur through TravelContent.Market.

6. Content Removal

6.1. Removal by Contributor:
You may request removal of your Content at any time by written notice. TravelContent.Market will remove Content from the Platform within thirty (30) days of receiving such request. Any licenses granted to Destination Partners prior to the Content’s removal from the Platform, including during the thirty (30) day removal period, remain valid and irrevocable for the full license term.

7. Indemnification

7.1. Indemnity:
You agree to fully indemnify, defend, and hold harmless TravelContent.Market, IMAGE AND FILM LLC, their officers, directors, employees, agents, affiliates, successors, assigns, and Destination Partners from and against any and all claims, damages, liabilities, costs, expenses, or losses (including attorney’s fees) arising from (a) your Content, (b) your breach of this Agreement, (c) your violation of law or third-party rights, or (d) any dispute with a Destination Partner related to your Content.

8. Limitation of Liability

8.1. Cap on Liability:
In no event shall TravelContent.Market’s total liability to you exceed the total amount paid to you by TravelContent.Market in the twelve (12) months preceding the claim.

8.2. No Indirect Damages:
TravelContent.Market shall not be liable for any indirect, incidental, consequential, punitive, or special damages, even if advised of the possibility of such damages.

9. Waiver of Claims and Dispute Resolution

9.1. No Lawsuit Clause:
You waive all rights to bring any lawsuit, claim, or proceeding against TravelContent.Market, IMAGE AND FILM LLC, or their partners, except as may be expressly prohibited by the laws of Utah. Any dispute, claim, or controversy shall be resolved exclusively by binding arbitration in Ogden, Utah, pursuant to the rules of the American Arbitration Association. This section survives termination.

10. Assignment

10.1. Assignment and Transfer:
TravelContent.Market may assign or transfer this Agreement, and all rights and obligations hereunder, to any successor, affiliate, or purchaser of the Platform or IMAGE AND FILM LLC assets. You may not assign your rights or obligations under this Agreement without prior written consent from TravelContent.Market.

11. Relationship of the Parties

11.1. No Agency or Employment:
Nothing in this Agreement creates an agency, partnership, employment, or joint venture relationship between you and TravelContent.Market. You act as an independent contributor.

12. No Guarantee of Sales

12.1. No Assurance of Revenue:
TravelContent.Market does not guarantee your Content will be licensed or that you will earn any specific amount of revenue.

13. Survival

13.1. Survival of Terms:
Sections regarding indemnification, limitation of liability, waiver, assignment, payment obligations, representations and warranties, and relationship of the parties survive termination of this Agreement.

14. Miscellaneous

14.1. Entire Agreement:
This Agreement, together with the Platform Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and TravelContent.Market and supersedes all prior understandings.

14.2. Severability:
If any provision is found invalid, the remainder remains in effect.

14.3. Governing Law:
This Agreement is governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Exclusive venue shall be in Ogden, Utah.

14.4. Acceptance:
By uploading Content and clicking “I agree,” you acknowledge that you have read, understood, and agree to be bound by this Agreement.

14.5. Changes to this Agreement

TravelContent.Market may update, change, or modify this Agreement at any time, at its sole discretion, by posting the revised Agreement on the Platform and, where required by law, providing notice to you by email. Unless otherwise specified, updated terms will become effective upon posting. Your continued use of the Platform after any changes to this Agreement constitutes your acceptance of the revised terms. It is your responsibility to review this Agreement periodically for updates.
